Terms of Service
Effective September 5, 2026
These terms are a contract between you and A OH K Investments LLC, a Delaware limited liability company doing business as keepmytcp ("keepmytcp", "we", "us"). By creating an account or using keepmytcp.com you agree to them. If you are using the service for a company, you confirm that you are authorized to bind that company, and "you" means the company.
What the service is
keepmytcp is a compliance-monitoring and reminder service for charter-party carriers regulated by the California Public Utilities Commission (CPUC). We retrieve the public CPUC record for the carrier accounts you enroll, track deadlines that you enter or that we read from documents you upload, and send you alerts and prepared statements. Depending on your plan we may also prepare quarterly PUCTRA fee statements and explain deficiency letters.
We are not the CPUC and we are not your lawyer. keepmytcp is not affiliated with, endorsed by or acting for the CPUC or any government agency. Nothing we provide is legal, tax or accounting advice. You remain solely responsible for every filing, fee, insurance requirement and deadline that applies to your authority. Anything we prepare is a draft for you to review, certify and submit yourself.
Accounts and carrier claims
You must give accurate information and keep your login credentials confidential. You are responsible for everything done under your login. You may enroll a carrier account (PSG number) only if you own it or are authorized by its owner to manage it. We may ask for proof, mark an enrollment as unverified until we receive it, and remove an enrollment or close an account that claims a carrier it is not entitled to. Where two logins claim the same carrier we will contact both before deciding which one is verified.
Plans, billing and cancellation
- Subscriptions are billed monthly, in advance, per enrolled carrier account, at the price shown when you subscribe. Founder's pricing stays in effect for as long as the subscription remains continuously active.
- New accounts receive a free trial of the length stated at sign-up. Alerts stop at the end of the trial unless a subscription is active.
- Adding a carrier account increases the next invoice; removing one reduces it from the next billing period.
- You may cancel at any time from the billing page. Cancellation takes effect at the end of the current billing period and we do not refund partial months. If a charge fails we will retry and may suspend alerts until it succeeds.
- Reinstatement and other project work is quoted separately and is not part of a subscription.
- Prices may change with at least 30 days' notice by email; a price change never applies to a founder's-price subscription that has stayed active.
Payments are processed by Stripe under Stripe's terms. Taxes, if any apply, are added to the price.
Your content
You keep ownership of the documents and data you upload. You give us permission to store, process, read and display them as needed to provide the service, including sending them to the service providers named in our Privacy Policy. You confirm that you have the right to upload them and that they do not infringe anyone else's rights. We may delete content that violates these terms or the law.
Acceptable use
You agree not to use the service to break the law, to access another customer's data, to enroll carriers you are not entitled to, to scrape or copy the service or its data at scale, to interfere with its operation, or to resell it without our written agreement. The public CPUC data we display is public; the way we assemble, enrich and present it is ours.
Accuracy and availability
Our monitoring depends on records published by the CPUC and on the dates you give us or that we read from documents. Those records can be late, incomplete or wrong, document reading can make mistakes, and email and text messages can be delayed or blocked. We check the CPUC record nightly, not continuously. You must confirm important dates yourself, and you should not rely on the service as your only reminder. We may change, suspend or discontinue features, and we will give reasonable notice of changes that materially reduce the service.
Disclaimer of warranties
The service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, non-infringement and any warranty that the service will be accurate, uninterrupted or error-free, or that using it will keep any authority active or prevent any suspension, revocation, penalty or fee.
Limitation of liability
To the fullest extent the law allows, keepmytcp and its owners, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost revenue, lost profits, lost business, suspension or revocation of an authority, fines, penalties, reinstatement costs or the cost of substitute services, arising out of or related to the service, even if we were told they were possible. Our total liability for all claims relating to the service is limited to the amount you paid us in the twelve months before the claim arose. Some jurisdictions do not allow some of these limits; in that case they apply to the extent permitted.
Indemnity
You will defend and indemnify keepmytcp against claims, losses and expenses (including reasonable attorneys' fees) arising from your use of the service, your content, your violation of these terms, or your violation of any law or regulation, including CPUC rules.
Termination
You may close your account at any time by emailing us. We may suspend or close an account that violates these terms, has an unpaid balance, or presents a legal or security risk, and we will tell you why unless the law prevents it. After closure we keep and delete data as described in the Privacy Policy. Sections that by their nature should survive (payment obligations, your content license for data already processed, disclaimers, limitation of liability, indemnity and governing law) survive termination.
Governing law and disputes
These terms are governed by the laws of the State of California without regard to conflict-of-law rules. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction. Before filing a claim, each side agrees to email the other a description of the dispute and to try in good faith to resolve it for 30 days.
Changes to these terms
We may update these terms. We will post the new version here with a new effective date and, for material changes, email account holders at least 14 days before they take effect. Continuing to use the service after that date means you accept the new terms.
General
These terms, together with the Privacy Policy, are the entire agreement between us about the service. If any part is unenforceable the rest remains in effect. You may not assign these terms without our consent; we may assign them to a successor of the business. Our failure to enforce a provision is not a waiver of it. Notices to us go to info@keepmytcp.com; notices to you go to the email on your account.
